Important: These Terms of Service ("Terms") are a legal agreement between you and ZIZWE IT LIMITED. By using our services, you agree to these Terms. Please read them carefully.
1. Agreement to Terms
By accessing or using any services provided by ZIZWE IT LIMITED ("Company," "we," "us," or "our"), including our website, mobile applications (Revalidator, OrderEase, StockEase, Ezethu izitori), and related services (collectively, "Services"), you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not access or use our Services.
2. Eligibility
You must meet the following requirements to use our Services:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using our Services under UK law or your local jurisdiction
- For Revalidator: Hold valid NMC registration as a nurse or midwife
- For business products: Have authority to bind your business to these Terms
3. Services Description
3.1 Revalidator
A mobile application designed to help UK nurses and midwives manage NMC revalidation requirements through voice-powered CPD logging, AI-generated reflective accounts, and form completion tools.
3.2 OrderEase (Coming Soon)
A white-label mobile ordering platform for small businesses to manage customer orders and delivery.
3.3 StockEase (Coming Soon)
A point-of-sale and inventory management application for small retail businesses.
3.4 Ezethu izitori (In Development)
A social platform for Nguni language speakers.
Services Disclaimer: Our Services are provided "as is" and may change, be updated, or discontinued at our discretion. We will provide reasonable notice for significant changes.
4. User Accounts
4.1 Account Creation
To use certain features, you must create an account by providing accurate and complete information, including:
- Valid email address
- Secure password
- Professional credentials (for Revalidator)
- Payment information (for paid subscriptions)
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong, unique passwords
4.3 Account Termination
We reserve the right to suspend or terminate accounts that:
- Violate these Terms
- Engage in fraudulent activity
- Abuse our Services or other users
- Remain inactive for extended periods (with notice)
You may terminate your account at any time by canceling your subscription and deleting your data within the application or by contacting us at support@zizweit.uk.
5. Subscriptions and Payment
5.1 Subscription Plans
Revalidator:
- £2 for the first month (introductory offer)
- £4.99/month thereafter, or
- £45/year (annual subscription)
Future products will have their own pricing structures, which will be clearly communicated before purchase.
5.2 Automatic Renewal
- Subscriptions automatically renew at the end of each billing period
- You will be charged the then-current rate unless you cancel
- You can cancel anytime before the renewal date without penalty
- Cancellation takes effect at the end of the current billing period
5.3 Payment Processing
- All payments are processed securely by Stripe, a PCI-DSS compliant payment processor
- We do not store your full payment card details
- You authorize us to charge your payment method for all fees incurred
5.4 Free Trials and Promotional Offers
- Free trials or promotional pricing may be offered at our discretion
- Terms of specific promotions will be clearly stated at the time of offer
- After a free trial, you will be automatically charged unless you cancel
5.5 Refunds
- Refunds are provided at our discretion and assessed on a case-by-case basis
- We generally offer refunds within 14 days of initial purchase if you're dissatisfied with the service
- No refunds for partial subscription periods after 14 days
- To request a refund, contact support@zizweit.uk with your order details
5.6 Price Changes
- We may change subscription prices with 30 days' notice
- Existing subscribers are grandfathered at their current rate for one billing cycle after notice
- You may cancel before price changes take effect
6. Acceptable Use Policy
6.1 You Agree To:
- Use the Services only for lawful purposes
- Provide accurate and truthful information
- Comply with all applicable laws and regulations
- Respect the intellectual property rights of others
- Maintain the security and integrity of the Services
6.2 You Agree NOT To:
- Share your account credentials with others
- Use the Services to violate any laws or regulations
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our software
- Transmit viruses, malware, or malicious code
- Harass, abuse, or harm other users
- Use automated systems to access the Services without permission
- Collect or harvest user data without consent
- Impersonate others or misrepresent your affiliation
- Interfere with the proper functioning of the Services
7. Intellectual Property Rights
7.1 Our Rights
All content, features, functionality, and intellectual property in our Services, including but not limited to:
- Software code and architecture
- User interface and design
- Logos, trademarks, and branding
- Text, graphics, and images
- Algorithms and AI models
are owned by ZIZWE IT LIMITED and protected by UK and international copyright, trademark, and other intellectual property laws.
7.2 Your Rights
- Your Content: You retain ownership of any content you create using our Services (e.g., CPD logs, reflective accounts)
- License to Us: You grant us a limited license to process and display your content as necessary to provide the Services
- Export Rights: You can export your data at any time in portable formats
7.3 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your personal or business use, subject to these Terms.
8. User-Generated Content
8.1 Content You Create
When using our Services, you may create various forms of content:
- Revalidator: CPD logs, reflective accounts, professional records
- OrderEase/StockEase: Business data, inventory records, customer information
- Ezethu izitori: Social posts, comments, interactions
8.2 Content Responsibility
You are solely responsible for:
- The accuracy and completeness of your content
- Ensuring your content doesn't violate laws or third-party rights
- Backing up important data (though we provide reasonable backup services)
8.3 AI-Generated Content
For AI-generated content (e.g., reflective accounts in Revalidator):
- You are responsible for reviewing and editing AI-generated content
- AI suggestions are tools to assist you, not final professional statements
- You must ensure all submissions meet professional and regulatory standards
9. Service Availability and Modifications
9.1 Availability
- We strive for 99.9% uptime but cannot guarantee uninterrupted service
- Scheduled maintenance will be announced in advance when possible
- We are not liable for service interruptions due to factors outside our control
9.2 Modifications
- We may update, modify, or discontinue features at any time
- Significant changes will be communicated with reasonable notice
- Continued use of Services after changes constitutes acceptance
10. Healthcare Disclaimer (Revalidator)
IMPORTANT HEALTHCARE DISCLAIMER:
Revalidator is a documentation and organizational tool designed to help nurses and midwives manage their NMC revalidation process. It is NOT:
- A substitute for professional judgment
- Medical advice or clinical guidance
- A guarantee of NMC compliance or approval
- A replacement for official NMC requirements
You are solely responsible for:
- Ensuring all submitted content meets NMC standards
- Reviewing and verifying AI-generated reflective accounts
- Meeting all professional and regulatory obligations
- Submitting complete and accurate revalidation documentation
ZIZWE IT LIMITED does not determine NMC compliance and is not responsible for revalidation outcomes.
11. Limitation of Liability
11.1 To the Maximum Extent Permitted by Law
ZIZWE IT LIMITED, its directors, employees, and affiliates shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Lost profits, data, or business opportunities
- Professional consequences (e.g., NMC disciplinary action)
- Decisions made based on AI-generated content
- Data loss due to device failure or user error
- Service interruptions or unavailability
- Third-party actions or services
11.2 Liability Cap
Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
11.3 Exceptions
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded by law
12. Indemnification
You agree to indemnify and hold harmless ZIZWE IT LIMITED from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your use or misuse of the Services
- Your content or data
- Violation of third-party rights
- Professional consequences of your revalidation submissions
13. Dispute Resolution
13.1 Informal Resolution
Before formal legal action, please contact us at support@zizweit.uk to resolve the issue informally.
13.2 Governing Law
These Terms are governed by the laws of England and Wales.
13.3 Jurisdiction
Any legal disputes shall be resolved in the courts of England and Wales. However, we may seek injunctive relief in any jurisdiction if necessary to protect our intellectual property.
14. Data Protection and Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. Key points:
- We comply with UK GDPR and Data Protection Act 2018
- Healthcare data (Revalidator) is stored locally on your device
- We never sell your personal data
- You have full rights to access, correct, and delete your data
15. Third-Party Services
Our Services integrate with third-party providers:
- Stripe: Payment processing
- OpenAI: AI-powered features
- Supabase: Backend infrastructure
Use of these services is subject to their respective terms of service. We are not responsible for third-party actions or failures.
16. Termination
16.1 By You
- Cancel your subscription anytime through the app or by contacting us
- Cancellation takes effect at the end of the current billing period
- You may delete your account and data at any time
16.2 By Us
We may suspend or terminate your access immediately if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your account poses security risks
- Payment fails repeatedly
16.3 Effects of Termination
- Access to Services will cease
- Local data (Revalidator) remains on your device
- Server-stored data may be deleted after a reasonable grace period (30 days)
- No refunds for partial subscription periods (except as required by law)
17. Changes to Terms
We may update these Terms to reflect:
- Changes in our Services
- Legal or regulatory requirements
- Business practices
We will notify you of significant changes via:
- Email to your registered address
- In-app notifications
- Website announcements
Continued use after changes constitutes acceptance. If you disagree with changes, you may cancel your subscription.
18. Miscellaneous
18.1 Entire Agreement
These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ZIZWE IT LIMITED.
18.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
18.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
18.4 Assignment
You may not transfer or assign your rights under these Terms. We may assign our rights to any successor or affiliate.
18.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, pandemics, government actions, etc.).
